These Terms of Service (“Terms”) govern your purchase and use of PrimusTrader (the “Software”), provided by Zimmerman Holdings (“we”, “us”, or “our”). By purchasing, installing, or using the Software, you agree to these Terms. If you do not agree, do not install or use the Software.
1.The Software
PrimusTrader is a self-hosted automated trading application that you run on your own computer or server. It connects to your own brokerage accounts (such as Alpaca, Tradier, or Binance) through their official APIs to place trades according to the strategies and risk settings you configure. We do not operate the Software on your behalf, hold your funds, or execute trades for you.
2.License Grant
Subject to these Terms and your payment of the applicable fee, we grant you a personal, non-exclusive, non-transferable, lifetime license to install and use the Software for your own trading. “Lifetime” means the license does not expire and requires no recurring payment; it does not guarantee any particular period of future updates or support.
3.Restrictions
You agree not to:
- resell, redistribute, sublicense, rent, or lease the Software or your license key;
- share your license key publicly or with anyone who has not purchased a license;
- reverse engineer, decompile, or attempt to extract source code except where such restriction is prohibited by law;
- remove or alter any proprietary notices in the Software;
- use the Software for any unlawful purpose or in violation of your broker’s or exchange’s terms.

Trading stocks, cryptocurrency, and other financial instruments involves substantial risk of loss and is not suitable for everyone. Automated trading can amplify losses as well as gains. Past performance — including any backtested or historical results — does not guarantee future results. You should never trade with money you cannot afford to lose. We strongly recommend running the Software in paper-trading mode before risking real capital. You assume full responsibility for all trades placed through the Software, including any losses.
6.Third-Party Services
The Software relies on third-party services you choose to connect, such as brokerages, exchanges, and optional AI providers. We do not control these services and are not responsible for their availability, accuracy, fees, outages, or actions. Your use of those services is governed by their own terms. You are responsible for obtaining and securing your own API credentials.
7.No Warranty
The Software is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, profitability, accuracy, or non-infringement. We do not warrant that the Software will be uninterrupted, error-free, or that it will achieve any particular trading outcome.
8.Limitation of Liability
To the maximum extent permitted by law, Zimmerman Holdings shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any trading losses, lost profits, or lost data, arising out of or related to your use of (or inability to use) the Software. In no event shall our total liability exceed the amount you paid for your license.
9.Changes to These Terms
We may update these Terms from time to time. The “Last updated” date above reflects the most recent revision. Your continued use of the Software after changes take effect constitutes acceptance of the revised Terms.
